Terms of Service

1. Definitions

"Account" means your registered account on the BonAppify platform.

"Business Account" means an organizational account under which multiple users may be granted access with different roles and permissions.

"Content" means any data, text, reports, analytics, or other materials generated through or uploaded to the Services.

"Subscription" means your paid plan or trial period granting access to the Services.

"User" means any individual who accesses the Services, whether as an account owner, team member, or authorized guest.

2. Eligibility & Account Registration

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By creating an account, you represent and warrant that all registration information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@bonappify.com if you suspect unauthorized use of your account.

Business Account owners are responsible for managing user access, roles, and permissions within their organization. You may invite team members by email and assign roles (Owner, Manager, Auditor, Viewer) that control access levels.

3. Services Description

BonAppify provides a cloud-based food sustainability auditing platform for the foodservice and hospitality industry. Our Services include, but are not limited to:

Food waste measurement and tracking across shifts, categories, and locations.

Carbon footprint calculations using proprietary algorithms based on food cost and waste volume data.

Sustainability analytics, dashboards, and reporting tools.

Multi-location management and benchmarking.

Guest count tracking and per-cover waste analysis.

UN Sustainable Development Goals progress tracking.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to affected users.

4. Subscription & Billing

Access to the Services requires an active Subscription. We offer various plans as described on our website. Free trials, when available, are subject to the terms specified at the time of enrollment.

Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are in Canadian dollars (CAD) unless otherwise stated.

You authorize us to charge the payment method on file for recurring subscription fees. Failure to pay may result in suspension or termination of your account.

You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by applicable law.

We reserve the right to modify pricing with at least 30 days' prior written notice. Price changes will apply to the next billing cycle following the notice period.

5. Acceptable Use

You agree to use the Services only for lawful purposes consistent with these Terms. You shall not:

Use the Services to store, transmit, or distribute malicious code, viruses, or harmful content.

Attempt to gain unauthorized access to any part of the Services, other accounts, or related systems.

Reverse engineer, decompile, or disassemble any aspect of the Services.

Use the Services to infringe upon the intellectual property rights of any third party.

Scrape, crawl, or use automated means to access the Services without our express written consent.

Misrepresent your identity, affiliation, or the source of any content you submit.

Use the Services in any manner that could damage, disable, overburden, or impair the Services.

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these terms.

6. Intellectual Property

BonAppify and its licensors retain all rights, title, and interest in and to the Services, including all software, algorithms, designs, trademarks, trade names, logos, and other intellectual property. The BonAppify name, logo, and all related product and service names are trademarks of BetterTable Inc.

These Terms do not grant you any right, license, or interest in our intellectual property except for the limited right to use the Services as provided herein.

We welcome feedback and suggestions about our Services. By submitting feedback, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use and incorporate that feedback into our products and services without obligation to you.

7. Your Data & Content

You retain full ownership of all data and content you submit to the Services ("Your Content"). By using the Services, you grant BonAppify a limited, non-exclusive license to use, process, and store Your Content solely for the purpose of providing and improving the Services.

You are responsible for the accuracy and legality of Your Content. You represent that you have all necessary rights and permissions to submit Your Content to the Services.

Upon termination of your account, you may request an export of Your Content within 30 days. After this period, we will delete Your Content in accordance with our data retention policy, except where retention is required by law.

8. Disclaimers & Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy of carbon footprint calculations, sustainability metrics, or any analytics generated by the platform — these are estimates based on the data you provide.

BonAppify is a sustainability tracking and analytics tool. Our Services do not constitute environmental consulting, legal advice, or regulatory compliance certification. You are responsible for verifying the accuracy of any reports or data generated through the platform before relying on them for regulatory, certification, or public disclosure purposes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BONAPPIFY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO BONAPPIFY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless BonAppify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Your access to or use of the Services.

Your violation of these Terms.

Your violation of any third-party rights, including intellectual property or privacy rights.

Any Content you submit to the Services that is inaccurate, misleading, or unlawful.

11. Termination

You may terminate your account at any time by contacting us at support@bonappify.com or through the account settings in the platform.

We may suspend or terminate your access to the Services immediately, without prior notice, if: (a) you breach any provision of these Terms; (b) your account is required to be terminated by law; (c) we discontinue the Services; or (d) for any other reason at our sole discretion with 30 days' notice.

Upon termination: (a) your right to access the Services ceases immediately; (b) you remain liable for any fees incurred prior to termination; (c) provisions that by their nature should survive termination shall continue in effect, including intellectual property, limitation of liability, indemnification, and governing law.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to the courts of the judicial district of Vancouver, British Columbia, Canada, which shall have exclusive jurisdiction.

Nothing in this section prevents either party from seeking injunctive or equitable relief from a court of competent jurisdiction at any time.

13. Modifications to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, for active subscribers, by email at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Services and terminate your account.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any applicable service-level agreements, constitute the entire agreement between you and BonAppify regarding the Services.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet outages, or pandemics.
